ComplyEQ Terms of Use

Last modified: October 19, 2026

THIS IS A LEGAL AGREEMENT (THE “AGREEMENT“) BETWEEN YOU AND EVERFI, LLC (“EVERFI” OR “COMPLYEQ”). AS USED HEREIN, “YOU” MEANS A USER OF THE SERVICE AND IN ADDITION, WHEN THE USER OF THE SERVICE IS PROVIDED ACCESS TO USE THE SERVICE BY A SCHOOL AND/OR SCHOOL DISTRICT OR OTHER ORGANIZATION (AN “ENTITY”), THE TERM “YOU” ALSO INCLUDES SUCH ENTITY. YOU SHOULD CAREFULLY READ THIS AGREEMENT, AND THE EVERFI GENERAL PRIVACY POLICY AND EVERFI COPPA PRIVACY POLICY (THE “PRIVACY POLICIES”).

IMPORTANT NOTICE ABOUT THE EVERFI PRIVACY POLICY. The EverFi General Privacy Policy is structured to reflect the context in which you access the Service. In some contexts, an agreement between EverFi and the school district, financial institution, employer, or other customer providing the Service controls how Everfi is collecting, processing and disclosing your personal Information. Please refer to Section 1 of the EverFi General Privacy Policy for details. The EverFi General Privacy Policy only describes Everfi’s privacy practices when Everfi is determining the means and purposes of processing your personal information. Where a third party (like our customer or a school district) is determining the means and purposes of processing your personal information, an applicable data processing agreement or customer agreement controls our personal information processing, and not the Everfi General Privacy Policy.

IMPORTANT NOTICE ABOUT YOUR LEGAL RIGHTS. THIS AGREEMENT CONTAINS PROVISIONS THAT MATERIALLY AFFECT YOUR LEGAL RIGHTS, INCLUDING (1) A BINDING ARBITRATION REQUIREMENT WITH JAMS (SECTION 15), (2) A WAIVER OF YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION (SECTION 15.4), (3) A LIMITATION ON THE TYPES OF DAMAGES YOU MAY RECOVER (SECTION 10), AND (4) A ONE-YEAR LIMITATION PERIOD FOR FILING CLAIMS (SECTION 17). PLEASE READ THESE PROVISIONS CAREFULLY.

Everfi owns or operates websites, including everfi.com and complyeq.com (collectively, the “Websites“). These Websites and the services available thereon and other services Everfi may make available from time to time (together with associated and successor websites and services) are referred to as the “Service”.

THIS AGREEMENT GOVERNS YOUR USE (AND THAT OF ANY PERSON YOU PROVIDE ACCESS TO USE) OF THE SERVICE. YOU AGREE BY USING OR ACCESSING THE SERVICE, OR BY PROVIDING ACCESS TO ANOTHER PERSON TO USE THE SERVICE, TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT WISH TO AGREE TO BE BOUND BY THIS AGREEMENT, YOU ARE NOT PERMITTED TO USE THE SERVICE OR TO PROVIDE ANOTHER PERSON WITH ACCESS TO USE THE SERVICE. IF YOU USE THE SERVICE, THIS AGREEMENT WILL APPLY TO YOU UNLESS EVERFI AND AN ENTITY GRANTING YOU A RIGHT OF ACCESS TO THE SERVICE EXPRESSLY AGREED IN WRITING THAT SOME OR ALL OF THE TERMS OF THIS AGREEMENT WILL NOT APPLY TO YOU.

1. Changes to this Agreement.

Everfi reserves the right to change, modify, add to, supplement or delete any of the terms and conditions of this Agreement  at any time from time-to-time. No change to this Agreement shall change the terms of any then-current written agreement executed between Everfi and an Entity. Everfi will provide you with notification of any material changes by posting the updated version on our Websites and by direct notification upon login. If any future changes to this Agreement are unacceptable to you or cause you to no longer be in compliance with this Agreement, you must immediately stop using the Service. Your use of the Service following any revision to this Agreement constitutes your acceptance of any and all such changes. You may reject any changes by ceasing all use of the Service.

2. Access to the Service.

2.1. Subject to your acceptance of and compliance with this Agreement, Everfi grants to you a non-exclusive, non-transferable, revocable limited license to use the Service for your personal non-commercial, private use. You agree not to use the Service for any commercial purposes, or to download, save, copy, transmit or distribute the content of the Service, including without limitation on any other website or networked computer environment, except as specifically allowed in this Agreement. Your use of the Service is conditioned upon your compliance with this Agreement.

2.2. Everfi may change, modify, suspend, or discontinue any aspect of the Service at any time unless you have a separate written agreement with Everfi for delivery of the particular Service in question, in which case any suspension or termination of the Service shall be governed instead by such written agreement. Such change, modification, suspension or discontinuation can be for any reason and is not limited to your breach of this Agreement. Everfi may also impose limits on certain features or restrict or prohibit your access to parts or all of the Service without notice or liability. You agree to be bound by any application-, tool- or content-specific rules published within the Service.

2.3. You expressly agree that the content of the Service may be viewed and accessed only by end-users (i.e., you, your students (if you are not a student yourself) and your Entity), and not by any other website or web publisher (e.g., you assisting in the “scraping” of content is expressly forbidden).

3. Use of the Service by Minors.

Individuals under the age of 18 may not use the Service unless their Entity enters into an agreement with Everfi that allows such individuals to use the Service. In the event that you authorize a minor to, or provide a minor with access to, use the Service, you hereby agree to this Agreement on behalf of yourself and such minor, and you understand and agree that you will be responsible for all uses of the Service by the minor to whom you provide access to use the Service whether or not such uses were authorized. Alternatively, in lieu of you, a parent or guardian of the minor may agree to this Agreement on behalf of him or herself and such minor, so long as the parent or guardian agrees in writing that he or she is responsible for all uses of the Service under the Agreement by such minor, whether or not such uses were authorized.

4. Representations of School Districts and Schools with Minors.

If you are an Entity authorizing a student under the age of 18 to, or providing such a student with access to, use the Service, you hereby represent and warrant that such student’s parents or guardians have agreed to the terms of this Agreement and the Privacy Policies on behalf of such student and that you have obtained all parental consents and permissions in connection with the Service and you will otherwise comply with all federal, state, and local law (and all regulations and rules thereunder) governing such student accessing and using the Service, including without limitation all applicable state privacy and data protection laws, the Children’s Online Privacy Protection Act and the Family Educational Rights and Privacy Act.

5. Intellectual Property.

5.1. Unless otherwise specified in writing, all materials that are part of the Service are owned, controlled, or licensed by Everfi and its licensors and are protected by law from unauthorized use. The entire contents of the Service (including without limitation all visual content, audio visual content, text (including without limitation, exam and survey questions) (the “Content”), and the arrangement, sequence, structure, and organization of the Service, are copyrighted under the United States copyright laws and/or similar laws of other jurisdictions. Everfi and Everfi logos are trademarks of Everfi and may not be used without the express written permission of Everfi. You do not acquire any ownership rights by using the Service or downloading material from the Service, you have during this Agreement only the limited right to use the Service for your personal education.

5.2. If you elect to submit to Everfi any essay or other works of authorship or comments, feedback, suggestions, ideas and other submissions in connection with your use of or otherwise relating to the Service, whether in writing or orally (collectively, “Submissions”), you represent and warrant that any Submissions are your original creations, that you have all rights to the Submissions, and that the Submissions do not infringe or violate the rights of any party, including without limitation any intellectual property rights or rights or privacy or publicity. For the avoidance of doubt, you retain ownership of your Submissions.

6. Passwords.

Everfi has several tools that allow you to record and store information in your account. You are responsible for all actions on the Service by you or under your Service password or account and for taking all reasonable steps to ensure that no unauthorized person shall have access to your Service password or account. Without limiting the foregoing: (a) you are responsible for all actions taken by individuals that you provide access to use the Service; and (b) it is your sole responsibility to (i) control the dissemination and use of any login code and password; (ii) authorize, monitor, and control access to and use of your Service account and password; (iii) promptly inform Everfi of any need to deactivate a password. You grant Everfi and all other persons or entities involved in the operation of the Service the right to transmit, monitor, retrieve, store, and use any information recorded and/or stored in your account in connection with the operation of the Service.

7. Usage Rules.

As a condition of your use of and access to the Service, you shall not:

(a) copy or adapt the Service’s software including but not limited to Flash, PHP, HTML, Java, CSS, JavaScript or other code;
(b) reverse engineer, decompile, reverse assemble, modify or attempt to discover any software (source code or object code) that the Service create to generate web pages or any software or other products or processes accessible through the Service;
(c) distribute any virus, time bomb, trap door, or other harmful or disruptive computer code, mechanism or program;
(d) interfere with or circumvent any security feature of the Service or any feature that restricts or enforces limitations on use of or access to the Service;

(g) allow another person or entity to use your identity in order to access the Service, or;
(h) publicly post or otherwise disseminate any details regarding the Service’s questionnaires (including the questions or answers) except fair use of such details under applicable copyright law for scholarly or newsworthy purposes.

8. Privacy and Protection of Personal Information.

Information collected from you and any individual you provide access to use the Service is subject to Everfi’s Privacy Policies. Everfi has no control, responsibility or liability to you arising out of the data collection, processing and disclosure practices, acts, omissions or violations of law of third-parties.

Please see Everfi’s Privacy Policies at the links set forth at the beginning of this Agreement for more information on the collection and use of your information. By accepting this Agreement, you consent to the collection, processing and disclosure of your personal information as described in the Privacy Policies. If you are an Entity (or a representative thereof) that provides a user with access to use the Service, you agree to hold all user information you may receive from Everfi in confidence and in compliance with all applicable laws.

9. No Professional Advice.

The Service and the Content are provided for informational purposes only. EVERFI DOES NOT PROVIDE MEDICAL, LEGAL, CERTIFIED FINANCIAL, OR ANY PROFESSIONAL ADVICE NOR DOES THE SERVICE CONSTITUTE THE PRACTICE OF MEDICINE, LAW, OR ANY OTHER PROFESSION. Any information provided to you by Everfi as a result of your participation in the Service is being provided to you solely for your educational and informational benefit and should not be considered medical, legal, or professional advice or a substitute for the foregoing. Everfi does not guarantee investment performance, tax treatment, account approval, contribution availability, or receipt of any scholarship, grant, award, or contribution. You agree that you bear all responsibility for your own decisions you may elect to make based on any information you learn in connection with the Service.

10. Disclaimers; Limitations; Waivers of Liability.

10.1. YOU EXPRESSLY AGREE THAT USE OF THE SERVICE IS AT YOUR OWN RISK AND IS PROVIDED ON AN “AS IS” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE (EXCEPT ONLY TO THE EXTENT PROHIBITED UNDER THE LAWS APPLICABLE TO TERMS OF USE WITH ANY LEGALLY REQUIRED WARRANTY PERIOD TO THE SHORTER OF THIRTY DAYS FROM FIRST USE OR THE MINIMUM PERIOD REQUIRED). WITHOUT LIMITING THE FOREGOING, NEITHER EVERFI NOR ITS AFFILIATES OR SUBSIDIARIES, OR ANY OF THEIR DIRECTORS, EMPLOYEES, AGENTS, ATTORNEYS, THIRD-PARTY CONTENT PROVIDERS, DISTRIBUTORS, LICENSEES OR LICENSORS, NOR ANYONE WHO HAS BEEN INVOLVED IN THE CREATION, PRODUCTION, OR DELIVERY OF THE SERVICE (COLLECTIVELY, “EVERFI PARTIES”) WARRANT THAT THE SERVICE, INCLUDING THE INFORMATION MADE AVAILABLE THROUGH THE SERVICE, WILL BE UNINTERRUPTED, UNCORRUPTED, ACCURATE, RELIABLE, COMPLETE, CURRENT, TIMELY, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE PAGES OR THE SERVER THAT MAKES THE SERVICE AVAILABLE ARE FREE FROM VIRUSES, WORMS OR OTHER HARMFUL COMPONENTS.

10.2. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE EVERFI PARTIES WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, PERSONAL INJURY/WRONGFUL DEATH, LOST OR ANTICIPATED PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, THE USE OR MISUSE OF SUBMISSIONS OR CONTENT IN ANY WAY WHATSOEVER ARISING OUT OF THE USE OF, OR INABILITY TO USE, THE SERVICE, WHETHER OR NOT THE EVERFI PARTIES ARE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN THE EVENT THAT THE FOREGOING EXCLUSION OF LIABILITY IS FOUND BY A COURT OF COMPETENT JURISDICTION TO BE UNENFORCEABLE, THE PARTIES INSTEAD AGREE THAT THE EVERFI PARTIES WILL NOT BE LIABLE TO YOU FOR MORE THAN THE GREATER OF THE AMOUNT YOU HAVE PAID EVERFI IN THE NINETY (90) DAYS IMMEDIATELY PRECEDING THE DATE ON WHICH YOU FIRST ASSERT ANY SUCH CLAIM OR ONE HUNDRED DOLLARS.

10.3. TO THE FULLEST EXTENT PERMITTED BY LAW, THESE DISCLAIMERS OF LIABILITY APPLY TO ANY AND ALL DAMAGES OR INJURY WHATSOEVER CAUSED BY OR RELATED TO USE OF, OR INABILITY TO USE, THE SERVICE UNDER ANY CAUSE OR ACTION OF ANY JURISDICTION, INCLUDING, WITHOUT LIMITATION, ACTIONS FOR BREACH OF WARRANTY, BREACH OF CONTRACT OR TORT (INCLUDING NEGLIGENCE).

11. Release.

Unless you are a governmental organization, you forever release, discharge, and covenant not to sue the Everfi Parties from any and all liability, claims, actions, and expenses that may arise, whether caused by the negligence of the Everfi Parties, or otherwise, in connection with use of the Service or through or as a result of the Service. In other words, you agree that you cannot sue the Everfi Parties if anything happens to you, any individual that you provide access to use the Service, or your property in connection with use of the Service or through or as a result of the Service. You agree that the provisions in this paragraph will survive any termination of your account(s), the Service, or this Agreement.

12. Third Party Claims.

You agree to hold harmless the Everfi Parties from and against all third-party claims and actions brought against the Everfi Parties arising out of your use of the Service or that of any individual you provide access to use the Service and/or your breach or alleged breach, or that of any individual you provide access to use the Service, of any term, condition, obligation, representation or warranty in this Agreement, including by paying all attorneys’ fees and costs to defend such claims and actions and all awards, damages, costs, and expenses arising therefrom. You agree that the provisions in this paragraph will survive any termination of your account(s), the Service, or this Agreement.

13. Objectionable Content/Copyright Takedown.

If you believe your rights have been violated by, or you otherwise object to, any posting, content or information on the Service, please contact us promptly at [email protected] so we can evaluate the claim and take appropriate action.

14. Third-Party Sites and Products.

We may include links to third-party sites or services, or information about third-party products or services. You should review the terms of use and privacy policies of all sites and services you link to from or are referred to by our Service. We do not endorse or take responsibility for these third-party offerings. We do not vet or take responsibility for third-party sites, services or products, or the postings or communications of other users.

15. Governing Law/ Mandatory Arbitration / Class Action Waiver

BY USING THE SERVICE, BY ACCEPTING A CONSENT BANNER REFERENCING THIS AGREEMENT, OR CONTINUING TO USE THE WEBSITES AFTER NOTICE OF THIS AGREEMENT, YOU ACKNOWLEDGE AND AGREE TO THE BINDING ARBITRATION PROVISION (SECTION 15.3), THE CLASS ACTION WAIVER (SECTION 15.4), AND THE LIMITATIONS ON DAMAGES (SECTION 10) AND TIME TO FILE CLAIMS (SECTION 17) SET FORTH IN THIS AGREEMENT.

Unless you are an Entity with a written agreement providing for a different governing law and process for resolving disputes, the following terms shall apply to you:

15.1 This Agreement and all aspects of the Service will be governed by and construed in accordance with the internal laws of the United States and the District of Columbia governing contracts entered into and to be fully performed in the District of Columbia (i.e., without regard to conflict of laws provisions) regardless of your location. With respect to any disputes or claims not subject to informal dispute resolution or arbitration (as set forth below), you agree not to commence or prosecute any action in connection therewith other than in the state or federal courts located in the District of Columbia, and you hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non-conveniens with respect to, venue and jurisdiction in the state and federal courts located in the District of Columbia.

15.2 To expedite resolution and control the cost of any dispute, controversy, or claim related to this Agreement (“Dispute”), you and Everfi agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating any arbitration or court proceeding. Such informal negotiations commence upon written notice from one person to the other. You will send your notice to EverFi, LLC (ATTENTION: LEGAL DEPARTMENT), 1500 K Street NW, Floor 2, Washington, D.C. 20005, 800-945-2316, [email protected]. We will send a notice to you through the most recent email address that we have in our records.

15.3 If you and Everfi are unable to resolve a Dispute through informal negotiations within 30 days, either you or Everfi may elect to have the Dispute (except those Disputes expressly excluded below) finally and exclusively resolved by binding arbitration. Any election to arbitrate by one party will be final and binding on the other. YOU UNDERSTAND THAT ABSENT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration will be commenced and conducted under the Streamlined Arbitration Rules and Procedures (the “Rules”) of JAMS, which is available at the JAMS website www.jamsadr.com. The determination of whether a Dispute is subject to arbitration will be governed by the Federal Arbitration Act and determined by a court rather than an arbitrator. Your arbitration fees and your share of arbitrator compensation will be governed by the Rules. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by a party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except as otherwise provided in this Agreement, you and EverFi may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate or enter judgment on the award entered by the arbitrator.

15.4 You and Everfi agree that any arbitration will be limited to the Dispute between Everfi and you individually. To the full extent permitted by law, (a) no arbitration will be joined with any other; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

15.5.  If twenty-five (25) or more claimants (including you) seek to initiate arbitrations raising similar claims against Everfi and are represented by the same or coordinated counsel or are otherwise coordinated (“Mass Arbitration”), you agree that these additional procedures shall apply. The parties agree that as part of these procedures, the resolution of your Dispute might be delayed and ultimately proceed in court. The parties agree that as part of these procedures, their counsel shall meet and confer in good faith in an effort to resolve the Disputes, streamline procedures, address the exchange of information, modify the number of Disputes to be adjudicated through arbitration, and conserve the parties’ and the JAMS’ resources. If you elect to bring your Dispute as part of a Mass Arbitration, any applicable limitations periods (including statutes of limitations) shall be tolled for your Dispute from the time that your Dispute is first submitted to JAMS until your Dispute is selected to proceed as part of a staged process or is settled, withdrawn, otherwise resolved, or opted out of arbitration pursuant to this provision.

i. Stage One

If at least 50 Disputes are submitted as part of the Mass Arbitration, counsel for the claimants and counsel for Everfi shall each select 25 Disputes to be filed and to proceed as cases in individual arbitrations as part of this initial staged process. The number of Disputes to be selected to proceed in Stage One can be increased by agreement of counsel for the parties (and if there are fewer than 50 Disputes, all shall proceed individually as part of Stage One). Each of the 50 (or fewer) cases shall be assigned to a different arbitrator and proceed individually. If a case is withdrawn before the issuance of an award, another claim shall be selected to proceed as part of Stage One. The remaining Disputes shall not be filed or deemed filed in arbitration nor shall any arbitration fees be assessed or collected in connection with those claims. After this initial set of staged proceedings, counsel for the parties shall participate in a global mediation session with a retired state or federal court judge jointly selected by counsel in an effort to resolve all remaining Disputes.

ii. Stage Two

If the remaining Disputes have not been resolved at the conclusion of Stage One, counsel for the claimants and counsel for Everfi shall each select 50 Disputes per side to be filed and to proceed as cases in individual arbitrations as part of this second staged process. The number of Disputes to be selected to proceed in Stage Two can be increased by agreement of counsel for the parties (and if there are fewer than 100 Disputes, all shall proceed individually as part of Stage Two). Each of the 100 (or fewer) cases shall be assigned to a different arbitrator unless counsel for the parties agree otherwise and shall proceed individually. If a case is withdrawn before the issuance of an award, another claim shall be selected to proceed as part of Stage Two. The remaining Disputes shall not be filed or deemed filed in arbitration nor shall any arbitration fees be assessed or collected in connection with those claims. After this second set of staged proceedings, counsel for the parties shall participate in a second global mediation session with a retired state or federal court judge jointly selected by counsel in an effort to resolve all remaining Disputes.

Upon the completion of the mediation set forth in Stage Two, each remaining Dispute (if any) that is not settled or withdrawn shall be opted out of arbitration and may proceed in a court of competent jurisdiction consistent with the remainder of this Agreement. Notwithstanding the foregoing, counsel for the parties may mutually agree in writing to proceed with the adjudication of some or all of the remaining Disputes in individual arbitrations consistent with the process set forth in Stage Two (except Disputes shall be randomly selected and mediation shall be elective by agreement of counsel) or through another mutually-agreeable process. A court of competent jurisdiction shall have the authority to enjoin the filing or prosecution of arbitrations and the assessment or collection of arbitration fees.

These additional procedures for Mass Arbitration filings provision and each of its requirements are essential parts of this arbitration agreement. If, after exhaustion of all appeals, a court of competent jurisdiction decides that these additional procedures for Mass Arbitration filings apply to your Dispute and are not enforceable, then your Dispute shall not proceed in arbitration and shall proceed in a court of competent jurisdiction consistent with the remainder of this Agreement.

15.6 You and Everfi agree that the following Disputes are not subject to the above provisions concerning informal negotiations and binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of your or Everfi’s intellectual property rights; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy or unauthorized use; and (c) any claim for injunctive relief.

16. Waiver/Severability.

16.1 The failure of Everfi to require or enforce strict performance by you of any provision of this Agreement or to exercise any right under them will not be construed as a waiver or relinquishment of Everfi’s right to assert or rely upon any such provision or right in that or any other instance.

16.2 You and Everfi agree that if any portion of this Agreement, except any portion of Section 15.5, is found illegal or unenforceable, in whole or in part by any court of competent jurisdiction, such provision will, as to such jurisdiction, be ineffective to the extent of such determination of invalidity or unenforceability without affecting the validity or enforceability thereof in any other manner or jurisdiction and without affecting the remaining provisions of this Agreement, which will continue to be in full force and effect. If Section 15.5 is found to be illegal or unenforceable then neither you nor Everfi will elect to arbitrate any Dispute falling within that portion of Section 15.5 found to be illegal or unenforceable and such Dispute will be decided by a court of competent jurisdiction in the District of Columbia, and you and Everfi agree to submit to the personal jurisdiction of that court.

17. Miscellaneous.

17.1. Everfi operates and controls the Service from its offices in North America. Everfi makes no representation that the Service is appropriate or available in other locations. The information provided on the Service is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject Everfi to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Service from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

17.2. This Agreement is effective until terminated by either party, which either party may do at any time.. The privileges granted to you under this Agreement will terminate immediately and automatically without notice from Everfi if, in our sole discretion, you fail to comply with any term or provision of this Agreement or for any reason in Everfi’s sole discretion.

17.3. Neither the course of conduct between the parties nor trade practice will act to modify this Agreement.

17.4. You may not assign this Agreement without Everfi’s prior written consent, which may be withheld in Everfi’s sole discretion, and any assignment without such consent shall be deemed null and void. Such anti-assignment provision shall not apply to any entity that has a right to assign its written agreement with Everfi relating to the Service.

17.5. This Agreement contains the entire understanding of you and Everfi, and supersedes all prior understandings between the parties concerning its subject matter, and cannot be changed or modified by you.

17.6. The section headings used in this Agreement are for convenience only and will not be given any legal import.

17.7. Upon Everfi’s request, you will furnish Everfi any documentation, substantiation, or releases necessary to verify your compliance with this Agreement.

17.8. You agree that this Agreement will not be construed against Everfi by virtue of having drafted it.

17.9. You hereby waive any and all defenses you may have based on the electronic form of this Agreement and the lack of signing by the parties hereto to execute this Agreement.

18. Limitations on Claims.

You and Everfi both agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or this Agreement (including the Privacy Policies) must be filed within ONE (1) YEAR after such claim or cause of action arose or will be forever barred.

    6. Mots de passe.

    Everfi propose plusieurs outils qui vous permettent d’enregistrer et de conserver des informations dans votre compte. Vous êtes responsable de toutes les actions effectuées à partir du Service, que ce soit par vous-même ou à l’aide de votre mot de passe ou de votre compte, et vous devez prendre toutes les mesures raisonnables pour vous assurer qu’aucune personne non autorisée n’ait accès à votre mot de passe ou à votre compte. Sans limiter la portée de ce qui précède : (a) vous êtes responsable de toutes les actions effectuées par les personnes auxquelles vous accordez l’accès au Service; et (b) il vous incombe exclusivement (i) de contrôler la diffusion et l’utilisation de tout identifiant et mot de passe; (ii) d’autoriser, de surveiller et de contrôler l’accès à votre compte du Service et à votre mot de passe, ainsi que leur utilisation; (iii) d’informer sans délai Everfi de toute nécessité de désactiver un mot de passe. Vous accordez à Everfi ainsi qu’à toutes les autres personnes ou entités impliquées dans l’exploitation du Service le droit de transmettre, de surveiller, de récupérer, de stocker et d’utiliser toute information enregistrée et/ou stockée dans votre compte dans le cadre de l’exploitation du Service.

    7. Règles d’utilisation.

    Comme condition à votre utilisation du Service et à votre accès à celui-ci, il vous est interdit de :
    (a) copier ou adapter le logiciel du Service, y compris, mais sans s’y limiter, Flash, PHP, HTML, Java, CSS, JavaScript ou tout autre code;
    (b) procéder à une ingénierie inverse, décompiler, désassembler, modifier ou tenter de découvrir tout logiciel (code source ou code objet) créé par le Service pour générer des pages Web ou tout logiciel, produit ou processus accessible via le Service;
    (c) diffuser tout virus, bombe à retardement, porte dérobée ou tout autre code, mécanisme ou programme informatique nuisible ou perturbateur;
    (d) interférer avec ou contourner toute fonctionnalité de sécurité du Service ou toute fonctionnalité qui restreint ou impose des limitations à l’utilisation ou à l’accès au Service;
    (e) vendre le Service ou toute partie de celui-ci, y compris, mais sans s’y limiter, les comptes d’utilisateurs et l’accès à ceux-ci, en échange de toute contrepartie ou de valeur;
    (f) enfreindre toute loi applicable, y compris, mais sans s’y limiter, toute législation applicable en matière d’exportation;
    (g) permettre à une autre personne ou entité d’utiliser votre identité afin d’accéder au Service; ou
    (h) publier ou diffuser de quelque manière que ce soit des informations concernant les questionnaires du Service (notamment les questions ou les réponses), sauf en cas d’utilisation équitable de ces informations en vertu de la législation applicable en matière de droit d’auteur à des fins scientifiques ou d’intérêt journalistique.

    8. Confidentialité et protection des renseignements personnels.

    Les informations recueillies auprès de vous et de toute personne à laquelle vous donnez accès au Service sont soumises aux Politiques de confidentialité d’Everfi.  La Politique générale de confidentialité d’EverFi est structurée de manière à refléter le contexte dans lequel vous accédez au Service. Dans certains contextes, un accord entre EverFi et le district scolaire, l’institution financière, l’employeur ou tout autre client fournissant le Service régit la manière dont Everfi collecte, traite et divulgue vos renseignements personnels. Veuillez vous reporter à la section 1 de la Politique générale de confidentialité d’EverFi pour plus de détails. La politique générale de confidentialité d’EverFi décrit uniquement les pratiques d’EverFi en matière de confidentialité lorsque cette dernière détermine les moyens et les finalités du traitement de vos renseignements personnels. Lorsqu’un tiers (tel que notre client ou un district scolaire) détermine les moyens et les finalités du traitement de vos renseignements personnels, c’est l’accord applicable relatif au traitement des données ou l’accord client qui régit notre traitement de ces données, et non la Politique générale de confidentialité d’Everfi. Everfi n’a aucun contrôle, aucune responsabilité, ni aucune obligation envers vous découlant des pratiques de collecte, de traitement et de divulgation des données, des actes, des omissions ou des infractions à la loi de tiers.

    Pour plus d’informations sur la collecte et l’utilisation de vos données personnelles, veuillez consulter les politiques de confidentialité d’Everfi en cliquant sur les liens indiqués au début du présent Accord. En acceptant le présent Accord, vous consentez à la collecte, au traitement et à la divulgation de vos renseignements personnels, comme décrit dans les Politiques de confidentialité. Si vous êtes une Entité (ou un de ses représentants) qui permet à un utilisateur d’accéder au Service, vous vous engagez à préserver la confidentialité de toutes les informations relatives aux utilisateurs que vous pourriez recevoir de la part d’Everfi, et à respecter l’ensemble des lois applicables.

    9. Absence de conseils professionnels.

    Le Service et le Contenu sont fournis à titre purement informatif. EVERFI NE FOURNIT AUCUN CONSEIL MÉDICAL, JURIDIQUE, FINANCIER CERTIFIÉ OU AUTRE CONSEIL PROFESSIONNEL, ET LE SERVICE NE CONSTITUE PAS L’EXERCICE DE LA MÉDECINE, DU DROIT OU DE TOUTE AUTRE PROFESSION. Toute information qui vous est fournie par Everfi dans le cadre de votre participation au Service vous est communiquée uniquement à des fins éducatives et informatives et ne doit en aucun cas être considérée comme un conseil médical, juridique ou professionnel ni comme un substitut à de tels conseils. Everfi ne garantit pas le rendement des placements, le traitement fiscal, l’approbation des comptes, la disponibilité des cotisations, ni l’obtention d’une bourse, d’une subvention, d’un prix ou d’une cotisation. Vous acceptez d’assumer l’entière responsabilité des décisions que vous pourriez prendre sur la base des renseignements que vous obtenez dans le cadre du Service.

    10. Clauses de non-responsabilité; limitations; renonciations à la responsabilité.

    10.1. VOUS ACCEPTEZ EXPRESSÉMENT QUE L’UTILISATION DU SERVICE SE FASSE À VOS PROPRES RISQUES ET QU’IL SOIT FOURNI « TEL QUEL », SANS GARANTIE D’AUCUNE SORTE, EXPRESSE OU IMPLICITE, Y COMPRIS LES GARANTIES DE TITRE OU LES GARANTIES IMPLICITES DE NON-CONTREFAÇON, DE QUALITÉ MARCHANDE OU D’ADÉQUATION À UN USAGE PARTICULIER (SAUF DANS LA MESURE OÙ CELA EST INTERDIT PAR LES LOIS APPLICABLES AUX CONDITIONS D’UTILISATION, AVEC UNE PÉRIODE DE GARANTIE LÉGALEMENT REQUISE ÉGALANT LA PLUS COURTE DES DEUX PÉRIODES SUIVANTES : TRENTE JOURS À COMPTER DE LA PREMIÈRE UTILISATION OU LA PÉRIODE MINIMALE REQUISE). SANS LIMITER LA PORTÉE DE CE QUI PRÉCÈDE, NI EVERFI, NI SES SOCIÉTÉS AFFILIÉES OU FILIALES, NI AUCUN DE LEURS ADMINISTRATEURS, EMPLOYÉS, AGENTS, AVOCATS, FOURNISSEURS DE CONTENU TIERS, DISTRIBUTEURS, TITULAIRES DE LICENCE OU CONCÉDANTS DE LICENCE, NI AUCUNE PERSONNE AYANT PARTICIPÉ À LA CRÉATION, À LA PRODUCTION OU À LA FOURNITURE DU SERVICE (COLLECTIVEMENT, LES « PARTIES EVERFI ») NE GARANTIT QUE LE SERVICE, Y COMPRIS LES INFORMATIONS MISES À DISPOSITION PAR L’INTERMÉDIAIRE DE CELUI-CI, SERA ININTERROMPU, INTACT, EXACT, FIABLE, COMPLET, À JOUR, DISPONIBLE EN TEMPS UTILE OU EXEMPT D’ERREURS, QUE LES DÉFAUTS SERONT CORRIGÉS, OU QUE LES PAGES OU LE SERVEUR QUI MET LE SERVICE À DISPOSITION SONT EXEMPTS DE VIRUS, DE VERS OU D’AUTRES ÉLÉMENTS NUISIBLES.

    10.2. DANS TOUTE LA MESURE PERMISE PAR LA LOI APPLICABLE, LES PARTIES EVERFI NE SERONT PAS RESPONSABLES DES DOMMAGES DIRECTS, INDIRECTS, ACCESSOIRES, SPÉCIAUX, EXEMPLAIRES OU CONSÉCUTIFS, DES BLESSURES CORPORELLES OU DU DÉCÈS PAR FAUTE, DE PERTE DE BÉNÉFICES RÉELS OU PRÉVISIONNELS, DE PERTE DE DONNÉES OU D’INTERRUPTION D’ACTIVITÉ, DE L’UTILISATION OU DE LA MAUVAISE UTILISATION DES CONTRIBUTIONS OU DU CONTENU DE QUELQUE MANIÈRE QUE CE SOIT, DÉCOULANT DE L’UTILISATION OU DE L’INCAPACITÉ À UTILISER LE SERVICE, QUE LES PARTIES EVERFI AIENT ÉTÉ INFORMÉES OU NON DE LA POSSIBILITÉ DE TELS DOMMAGES. DANS LE CAS OÙ L’EXCLUSION DE RESPONSABILITÉ CI-DESSUS SERAIT JUGÉE INAPPLICABLE PAR UN TRIBUNAL COMPÉTENT, LES PARTIES CONVIENNENT À TITRE SUBSTITUTIF QUE LES PARTIES EVERFI NE SERONT PAS RESPONSABLES À VOTRE ÉGARD AU-DELÀ DU MONTANT LE PLUS ÉLEVÉ ENTRE LE MONTANT QUE VOUS AVEZ VERSÉ À EVERFI AU COURS DES QUATRE-VINGT-DIX (90) JOURS PRÉCÉDANT IMMÉDIATEMENT LA DATE À LAQUELLE VOUS AVEZ FAIT VALOIR POUR LA PREMIÈRE FOIS UNE TELLE RÉCLAMATION, OU CENT DOLLARS.

    10.3. DANS TOUTE LA MESURE PERMISE PAR LA LOI, LES PRÉSENTES CLAUSES DE NON-RESPONSABILITÉ S’APPLIQUENT À TOUT DOMMAGE OU PRÉJUDICE, QUEL QU’IL SOIT, RÉSULTANT DE OU LIÉ À L’UTILISATION OU À L’INCAPACITÉ D’UTILISER LE SERVICE, QUELLE QUE SOIT LA CAUSE OU L’ACTION INVOQUÉE DANS TOUTE JURIDICTION, Y COMPRIS, MAIS SANS S’Y LIMITER, LES RECOURS POUR VIOLATION DE GARANTIE, INEXÉCUTION CONTRACTUELLE OU RESPONSABILITÉ CIVILE (Y COMPRIS LA NÉGLIGENCE).

    11. Décharge.

    À moins que vous ne soyez un organisme gouvernemental, vous libérez et déchargez définitivement les Parties Everfi et vous vous engagez à ne pas les poursuivre pour toute responsabilité, réclamation, demande en justice et dépense pouvant survenir, qu’elles soient causées par la négligence des Parties Everfi ou pour toute autre raison, en lien avec l’utilisation du Service ou par le biais de celui-ci. Autrement dit, vous consentez à ne pas intenter de procès contre les Parties Everfi en cas de préjudice subi par vous-même, par toute personne à qui vous autorisez l’accès au Service, ou par vos biens, en lien avec l’utilisation du Service, par l’intermédiaire de celui-ci ou en raison de celui-ci. Vous acceptez que les dispositions du présent paragraphe restent en vigueur même après la résiliation de votre ou vos comptes, du Service ou du présent Accord.

    12. Réclamations de tiers.

    Vous vous engagez à dégager les Parties Everfi de toute responsabilité vis-à-vis de toute réclamation ou action intentée par un tiers à l’encontre des Parties Everfi et découlant de votre utilisation du Service ou de celle de toute personne à qui vous avez donné accès au Service et/ou de votre manquement ou manquement présumé, ou de celui de toute personne à qui vous avez donné accès au Service, à toute clause, condition, obligation, déclaration ou garantie du présent Accord, notamment en prenant en charge l’intégralité des honoraires d’avocat et des frais engagés pour se défendre contre ces réclamations et actions, ainsi que l’intégralité des indemnités, dommages-intérêts, frais et dépenses qui en découlent. Vous acceptez que les dispositions du présent paragraphe restent en vigueur même après la résiliation de votre ou vos comptes, du Service ou du présent Accord.

    13. Contenu répréhensible et retrait pour violation du droit d’auteur.

    Si vous estimez que vos droits ont été bafoués par une publication, un contenu ou une information figurant sur le Service, ou si vous vous y opposez pour toute autre raison, veuillez nous contacter sans délai à l’adresse [email protected] afin que nous puissions examiner votre réclamation et prendre les mesures qui s’imposent.

    14. Sites et produits de tiers.

    Nous pouvons inclure des liens vers des sites ou des services tiers, ou des renseignements sur des produits ou des services tiers. Nous vous recommandons de consulter les conditions d’utilisation et les politiques de confidentialité de tous les sites et services auxquels vous accédez via notre Service ou vers lesquels celui-ci vous redirige. Nous n’approuvons pas ces offres de tiers et n’en assumons pas la responsabilité. Nous ne vérifions pas et n’assumons aucune responsabilité quant aux sites, services ou produits de tiers, ni quant aux publications ou communications d’autres utilisateurs.

    15. Loi applicable, arbitrage obligatoire et renonciation aux recours collectifs

    EN UTILISANT LE SERVICE, EN ACCEPTANT UNE BANNIÈRE DE CONSENTEMENT FAISANT RÉFÉRENCE AU PRÉSENT ACCORD, OU EN CONTINUANT À UTILISER LES SITES WEB APRÈS NOTIFICATION DU PRÉSENT ACCORD, VOUS RECONNAISSEZ ET ACCEPTEZ LA CLAUSE D’ARBITRAGE EXÉCUTOIRE (SECTION 15.3), LA RENONCIATION AUX RECOURS COLLECTIFS (SECTION 15.4), AINSI QUE LES LIMITATIONS EN MATIÈRE DE DOMMAGES-INTÉRÊTS (SECTION 10) ET LES DÉLAIS DE DÉPÔT DES RÉCLAMATIONS (SECTION 17) PRÉVUES DANS LE PRÉSENT ACCORD.

    À moins que vous ne soyez une Entité ayant conclu un accord écrit prévoyant une loi applicable et une procédure de règlement des litiges différentes, les conditions suivantes s’appliquent à vous :

    15.1 Le présent Accord et tous les aspects du Service seront régis et interprétés conformément aux lois internes des États-Unis et du District de Columbia applicables aux contrats conclus et devant être intégralement exécutés dans le District de Columbia (c’est-à-dire sans tenir compte des dispositions relatives aux conflits de lois), quel que soit l’endroit où vous vous trouvez. En ce qui concerne tout litige ou toute réclamation ne relevant pas d’un règlement informel ou d’un arbitrage (comme indiqué ci-dessous), vous acceptez de n’intenter ou de ne poursuivre aucune demande en justice à cet égard devant d’autres tribunaux que les tribunaux d’État ou fédéraux situés dans le District de Columbia, et vous consentez par les présentes à la compétence territoriale et à la compétence des tribunaux d’État et fédéraux situés dans le District de Columbia, et renoncez à toute exception fondée sur l’absence de compétence personnelle ou sur le principe du forum non conveniens à cet égard.

    15.2 Afin d’accélérer le règlement et de maîtriser le coût de tout litige, différend ou réclamation lié au présent Accord (ci-après dénommé « Litige »), vous et Everfi convenez de tenter en premier lieu de négocier tout Litige (à l’exception des Litiges expressément prévus ci-dessous) de manière informelle pendant au moins trente (30) jours avant d’engager toute procédure d’arbitrage ou toute action en justice. Ces négociations informelles débutent dès qu’une personne adresse un avis écrit à l’autre. Vous enverrez votre avis à EverFi, LLC (À L’ATTENTION DU SERVICE JURIDIQUE), 1500 K Street NW, Floor 2, Washington, D.C. 20005, 800-945-2316, [email protected]. Nous vous enverrons un avis à l’adresse courriel la plus récente que nous avons dans nos dossiers.

    15.3 Si vous et Everfi ne parvenez pas à régler un Litige par des négociations informelles dans un délai de 30 jours, vous ou Everfi pouvez choisir de faire régler le Litige (à l’exception des Litiges expressément exclus ci-dessous) de manière définitive et exclusive par un arbitrage contraignant. Toute décision d’une partie de recourir à l’arbitrage sera définitive et contraignante pour l’autre partie. VOUS COMPRENEZ QU’EN L’ABSENCE DE CETTE DISPOSITION, VOUS AURIEZ LE DROIT D’INTENTER UNE ACTION EN JUSTICE ET DE BÉNÉFICIER D’UN PROCÈS DEVANT JURY. L’arbitrage sera entamé et mené conformément aux Règles et procédures d’arbitrage simplifiées (les « Règles ») de JAMS, lesquelles peuvent être consultées sur le site Web de JAMS à l’adresse www.jamsadr.com. La décision de savoir si un Litige est soumis à l’arbitrage sera régie par la Loi fédérale sur l’arbitrage et sera prise par un tribunal plutôt que par un arbitre. Vos frais d’arbitrage et votre part de la rémunération de l’arbitre seront régis par les Règles. L’arbitrage peut se dérouler en personne, par l’envoi de documents, par téléphone ou en ligne. L’arbitre rendra sa décision par écrit, mais n’aura pas à fournir d’exposé des motifs, sauf si l’une des parties le demande. L’arbitre est tenu de respecter le droit applicable, et toute décision arbitrale peut être contestée s’il ne s’y conforme pas. Sauf disposition contraire du présent Accord, vous et EverFi pouvez intenter une action en justice pour contraindre à l’arbitrage, suspendre la procédure en attendant l’arbitrage, ou pour confirmer, modifier, annuler ou rendre un jugement sur la décision rendue par l’arbitre.

    15.4 Vous et Everfi convenez que tout arbitrage sera limité au Litige entre Everfi et vous individuellement. Dans toute la mesure permise par la loi, (a) aucune procédure d’arbitrage ne sera jointe à une autre; (b) il n’existe aucun droit ni aucune habilitation permettant de soumettre un Litige à l’arbitrage dans le cadre d’un recours collectif ou de recourir à des procédures de recours collectif; et (c) il n’existe aucun droit ni aucune habilitation permettant d’intenter un Litige en qualité de représentant présumé au nom du grand public ou de toute autre personne.

    15.5.  Dans le cas où vingt-cinq (25) demandeurs ou plus (vous compris) chercheraient à engager des procédures d’arbitrage pour faire valoir des réclamations similaires à l’encontre d’Everfi et seraient représentés par le même avocat ou par des avocats agissant de concert, ou s’ils agissaient de manière coordonnée d’une autre manière (« Arbitrage collectif »), vous acceptez que ces procédures supplémentaires s’appliquent. Les parties conviennent que, dans le cadre de ces procédures, la résolution de votre Litige pourrait être retardée et, en fin de compte, se dérouler devant un tribunal. Les parties conviennent que, dans le cadre de ces procédures, leurs avocats se réuniront et se concerteront de bonne foi afin de tenter de régler les Litiges, de rationaliser les procédures, de traiter de l’échange d’informations, de modifier le nombre de Litiges à trancher par arbitrage et de préserver les ressources des parties et de JAMS. Si vous choisissez de soumettre votre Litige dans le cadre d’un Arbitrage collectif, tous les délais de prescription applicables (y compris les délais de prescription légaux) seront suspendus pour votre Litige à partir du moment où votre Litige est soumis pour la première fois à JAMS jusqu’à ce que votre Litige soit sélectionné pour être traité dans le cadre d’un processus par étapes ou qu’il soit réglé, retiré, résolu d’une autre manière ou exclu de l’arbitrage conformément à la présente disposition.

    i. Première phase

    Si au moins 50 Litiges sont soumis dans le cadre de l’Arbitrage collectif; les avocats des demandeurs et ceux d’Everfi choisiront chacun 25 Litiges qui feront l’objet d’une procédure d’arbitrage individuelle dans le cadre de cette première phase du processus. Le nombre de Litiges à sélectionner pour passer à la Première phase peut être augmenté d’un commun accord entre les avocats des parties (et s’il y a moins de 50 Litiges, tous feront l’objet d’une procédure individuelle dans le cadre de la Première phase). Chacune des 50 affaires (ou moins) sera attribuée à un arbitre différent et sera traitée individuellement. Si une affaire est retirée avant le prononcé d’une décision, une autre réclamation sera sélectionnée pour être traitée dans le cadre de la Première phase. Les Litiges restants ne seront pas soumis ni considérés comme soumis à l’arbitrage. De plus, aucuns frais d’arbitrage ne seront imposés ni perçus en lien avec ces réclamations. À l’issue de cette première série de procédures par phases, les avocats des parties participeront à une séance de médiation globale animée par un juge à la retraite d’un tribunal d’État ou fédéral, choisi conjointement par les avocats, dans le but de résoudre tous les Litiges restants.

    ii. Deuxième phase

    Si les Litiges restants n’ont pas été résolus à l’issue de la première phase, les avocats des demandeurs et ceux d’Everfi choisiront chacun 50 Litiges par partie qui feront l’objet d’une procédure d’arbitrage individuelle dans le cadre de cette deuxième phase du processus. Le nombre de Litiges à sélectionner pour passer à la Deuxième phase peut être augmenté d’un commun accord entre les avocats des parties (et s’il y a moins de 100 Litiges, tous feront l’objet d’une procédure individuelle dans le cadre de la Deuxième phase). Chacune des 100 affaires (ou moins) sera attribuée à un arbitre différent, à moins que les avocats des parties n’en conviennent autrement, et sera traitée individuellement. Si une affaire est retirée avant le prononcé d’une décision, une autre réclamation sera sélectionnée pour être traitée dans le cadre de la Deuxième phase. Les Litiges restants ne seront pas soumis ni considérés comme soumis à l’arbitrage. De plus, aucuns frais d’arbitrage ne seront imposés ni perçus en lien avec ces réclamations. À l’issue de cette deuxième série de procédures par phases, les avocats des parties participeront à une deuxième séance de médiation globale animée par un juge à la retraite d’un tribunal d’État ou fédéral, choisi conjointement par les avocats, dans le but de résoudre tous les Litiges restants.

    À l’issue de la médiation prévue à la Deuxième étape, chaque Litige restant (le cas échéant) qui n’est pas réglé ou retiré sera exclu de l’arbitrage et pourra être soumis à un tribunal compétent conformément au reste du présent Accord. Nonobstant ce qui précède, les avocats des parties peuvent convenir d’un commun accord, par écrit, de procéder au règlement de tout ou partie des Litiges restants dans le cadre d’arbitrages individuels, conformément à la procédure prévue à la Deuxième étape (à l’exception du fait que les Litiges seront sélectionnés de manière aléatoire et que la médiation sera facultative, sur accord des avocats), ou par le biais d’une autre procédure convenue d’un commun accord. Une juridiction compétente est habilitée à interdire l’introduction ou la poursuite d’une procédure d’arbitrage, ainsi que la fixation ou le recouvrement des frais d’arbitrage.

    Ces procédures supplémentaires relatives à la disposition sur les demandes d’Arbitrage collectif et chacune de ses exigences sont des éléments essentiels du présent accord d’arbitrage. Si, après épuisement de toutes les voies de recours, une juridiction compétente décide que ces procédures supplémentaires relatives aux demandes d’Arbitrage collectif s’appliquent à votre Litige et ne sont pas exécutoires, alors votre Litige ne fera pas l’objet d’une procédure d’arbitrage et sera porté devant une juridiction compétente, conformément aux autres dispositions du présent Accord.

    15.6 Vous et Everfi convenez que les Litiges suivants ne sont pas soumis aux dispositions susmentionnées relatives aux négociations informelles et à l’arbitrage exécutoire : (a) tout Litige visant à faire valoir ou à protéger vos droits de propriété intellectuelle ou ceux d’Everfi, ou concernant la validité de ceux-ci; (b) tout Litige lié à, ou découlant d’allégations de vol, de piratage, d’atteinte à la vie privée ou d’utilisation non autorisée; et (c) toute demande de mesure injonctive.

    16. Renonciation et divisibilité.

    16.1 Le fait qu’Everfi n’exige pas ou ne fasse pas respecter strictement par vous l’une des dispositions du présent Accord, ou qu’elle n’exerce pas l’un des droits qui lui sont conférés en vertu de celui-ci, ne saurait être interprété comme une renonciation ou un abandon de la part d’Everfi à son droit de faire valoir ou de se prévaloir de cette disposition ou de ce droit dans ce cas précis ou dans tout autre cas.

    16.2 Vous et Everfi convenez que si une partie quelconque du présent Accord, à l’exception de toute partie de la section 15.5, est jugée illégale ou inapplicable, en tout ou en partie, par un tribunal compétent, cette disposition sera, en ce qui concerne cette juridiction, sans effet dans la mesure de cette déclaration d’invalidité ou d’inapplicabilité, sans que cela n’affecte sa validité ou son applicabilité de quelque autre manière ou dans toute autre juridiction, et sans que cela n’affecte les autres dispositions du présent Accord, qui resteront pleinement en vigueur. Si la section 15.5 est jugée illégale ou inapplicable, ni vous ni Everfi ne choisirez de soumettre à l’arbitrage tout Litige relevant de la partie de la section 15.5 jugée illégale ou inapplicable, et ce Litige sera tranché par un tribunal compétent du District de Columbia; vous et Everfi acceptez de vous soumettre à la compétence personnelle de ce tribunal.

    17. Divers.

    17.1. Everfi exploite et contrôle le Service depuis ses bureaux en Amérique du Nord. Everfi ne garantit en aucun cas que le Service soit adapté ou disponible ailleurs. Les renseignements fournis sur le Service ne sont pas destinés à être diffusés auprès de, ni utilisés par, toute personne physique ou morale dans toute juridiction ou tout pays où une telle diffusion ou utilisation serait contraire à la loi ou à la réglementation, ou qui soumettrait Everfi à une obligation d’enregistrement au sein de cette juridiction ou de ce pays. En conséquence, les personnes qui choisissent d’accéder au Service depuis d’autres lieux le font de leur propre initiative et sont seules responsables du respect des lois locales, dans la mesure où celles-ci sont applicables.

    17.2. Le présent Accord est en vigueur jusqu’à sa résiliation par l’une ou l’autre des parties, ce que chacune d’entre elles peut faire à tout moment. Les privilèges qui vous sont accordés en vertu du présent Accord prendront fin immédiatement et automatiquement, sans préavis de la part d’Everfi, si, à notre seule discrétion, vous ne respectez pas l’une des conditions ou l’une des dispositions du présent Accord, ou pour toute autre raison, à la seule discrétion d’Everfi.

    17.3. Ni les pratiques établies entre les parties ni les usages commerciaux ne peuvent modifier le présent Accord.

    17.4. Vous ne pouvez céder le présent Accord sans l’accord écrit préalable d’Everfi, lequel peut être refusé à la seule discrétion d’Everfi, et toute cession effectuée sans cet accord sera réputée nulle et non avenue. Cette clause d’interdiction de cession ne s’applique pas à toute entité disposant du droit de céder son accord écrit conclu avec Everfi concernant le Service.

    17.5. Le présent Accord constitue l’intégralité de l’accord entre vous et Everfi; il remplace tous les accords antérieurs entre les parties concernant son objet et ne peut être modifié par vous.

    17.6 Les titres des sections figurant dans le présent Accord sont uniquement destinés à faciliter la lecture et n’ont aucune valeur juridique.

    17.7. À la demande d’Everfi, vous fournirez à Everfi tous les documents, justifications ou décharges nécessaires pour vérifier votre respect du présent Accord.

    17.8. Vous acceptez que le présent Accord ne soit pas interprété à l’encontre d’Everfi au seul motif que celle-ci en a rédigé le texte.

    17.9. Vous renoncez par la présente à tout moyen de défense que vous pourriez invoquer en raison de la forme électronique du présent Accord et de l’absence de signature des parties aux présentes pour valider cet Accord.

    18. Limitations relatives aux réclamations.

    Vous et Everfi convenez tous deux que, nonobstant toute disposition légale contraire, toute réclamation ou cause d’action découlant de ou liée à l’utilisation du Service ou au présent Accord (y compris les Politiques de confidentialité) doit être introduite dans un délai d’UN (1) AN à compter de la survenance de ladite réclamation ou cause d’action, sous peine d’être définitivement prescrite.
